1. About OceanCrypto.ai

OceanCrypto.ai is a registered fictitious business name (DBA) in California of Eagle47 Holdings LLC, a Nevada limited liability company. We operate a physical storefront and studio in San Diego, California, and this website. In these Terms, “OceanCrypto.ai”, “we”, “us” and “our” refer to Eagle47 Holdings LLC doing business as OceanCrypto.ai, which is the contracting party for all products and services offered through this website.

OceanCrypto.ai provides educational, retail, consulting, community, coworking, technology, super-intelligence, and digital-asset-related products and services.

Offerings may include:

• SI and cryptocurrency education.
• Workshops, bootcamps, classes, events, and community programs.
• Coworking, builder programs, and access to shared facilities.
• Hardware wallets, accessories, merchandise, books, digital products, and related equipment.
• Technology, business, and implementation consulting.
• SI agents, chat experiences, voice experiences, software, integrations, and automations.
• Technical assistance configuring non-custodial wallets or compatible third-party services.
• Memberships, recurring programs, and service plans.
• Introductions to independent technology providers, payment providers, exchanges, custodians, service providers, or community partners.

Offerings, descriptions, prices, availability, schedules, benefits, and eligibility requirements may change.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase products or use services involving payments, contracts, financial accounts, digital assets, or recurring memberships.

A minor may participate in an eligible educational, community, or recreational activity only with the permission and supervision required by OceanCrypto.ai. A parent or legal guardian may be required to complete registration, sign a waiver, and accept responsibility for the minor.

You may not use our services where doing so would violate applicable law.

3. Accounts and Information

You agree to provide accurate, current, and complete information when creating an account, registering for an event, booking an appointment, making a purchase, enrolling in a messaging program, or communicating with us.

You are responsible for:

• Protecting your passwords and account credentials.
• Restricting unauthorized access to your devices and accounts.
• Promptly reporting suspected unauthorized activity.
• Confirming that wallet addresses, blockchain networks, telephone numbers, email addresses, payment information, and delivery information are correct.
• Maintaining current contact and billing information.

We may restrict or suspend access when we reasonably believe an account is being used fraudulently, unlawfully, abusively, or in violation of these Terms.

4. Orders, Pricing, and Payment

Prices are displayed in the currency identified at checkout and may change before an order is completed.

By completing a purchase, you authorize OceanCrypto.ai and its payment providers to charge the selected payment method for:

• Products and services purchased.
• Applicable taxes.
• Shipping, delivery, or handling charges.
• Membership or subscription fees.
• Other amounts clearly disclosed before purchase.

Payments may be processed by independent payment providers. Your use of those services is also governed by their terms and privacy practices.

We may reject, limit, cancel, or refund an order because of a pricing error, inventory limitation, suspected fraud, legal restriction, payment failure, technical problem, or other legitimate operational reason.

5. Cryptocurrency Payments and Digital Assets

Digital assets involve substantial risk. Values may change rapidly, transactions may be irreversible, and software, networks, wallets, exchanges, stablecoins, protocols, and service providers may fail or become unavailable.

Unless a separate written agreement expressly states otherwise:

• OceanCrypto.ai provides non-custodial education and technical assistance.
• OceanCrypto.ai does not take possession of or control your seed phrase, private key, or digital assets.
• You are responsible for choosing, securing, backing up, and operating your wallet.
• You must verify wallet addresses, blockchain networks, asset types, transaction amounts, and fees before authorizing a transaction.
• Blockchain transactions generally cannot be canceled or reversed after confirmation.
• You are responsible for applicable network fees, taxes, reporting duties, and consequences arising from an incorrect address, incompatible network, lost credential, compromised device, or unauthorized transaction.
• OceanCrypto.ai does not guarantee that any asset, wallet, network, exchange, stablecoin, protocol, or service will maintain its value, remain available, or operate without error.

Never provide OceanCrypto.ai, an OceanCrypto.ai representative, or an OceanCrypto.ai SI agent with your seed phrase, private key, authentication code, account password, or complete recovery information.

When a price is stated in U.S. dollars but paid using a digital asset, the amount may be determined using the payment provider's rate at the time of payment. Network fees and changes in digital-asset value may not be refundable.

Any custody, exchange, brokerage, money-transmission, lending, yield, staking, securities, commodities, or other regulated financial service must be covered by a separate written arrangement and, when required, provided by an appropriately authorized third party.

6. No Financial, Investment, Legal, Tax, or Accounting Advice

OceanCrypto.ai provides education, technical assistance, general information, and business services.

Unless a separate signed professional-services agreement expressly provides otherwise, OceanCrypto.ai does not provide individualized:

• Investment advice.
• Securities or commodities advice.
• Legal advice.
• Tax advice.
• Accounting advice.
• Fiduciary services.
• Guarantees of financial, business, regulatory, or technical performance.

Examples, demonstrations, educational materials, market discussions, SI responses, and statements concerning digital assets do not constitute a recommendation to buy, sell, hold, stake, lend, or transact in any asset.

You remain responsible for your decisions and should consult qualified independent professionals when appropriate.

7. Educational Disclaimer

OceanCrypto.ai provides technology education and software services. Content is provided for general educational purposes only and is not financial, investment, legal, tax, brokerage, exchange, custody, or money-transmission advice or service. OceanCrypto.ai does not take possession of customer cryptocurrency, private keys, seed phrases, or digital-asset funds.

8. Super-Intelligence Services

Some OceanCrypto.ai services use generative SI (super intelligence), automated agents, transcription, voice technology, machine learning, third-party SI models, or automated workflows.

SI-generated output may be incomplete, inaccurate, outdated, offensive, or unsuitable for your circumstances. An SI system may misunderstand a request or produce information that appears authoritative but is incorrect.

You agree that:

• SI output is provided for informational and assistive purposes.
• You will independently review important information before relying on it.
• SI output is not a substitute for professional financial, legal, medical, tax, safety, accounting, or compliance advice.
• You remain responsible for decisions, transactions, communications, files, code, instructions, and content you approve or use.
• You will not enter a seed phrase, private key, password, one-time authentication code, protected health information, highly sensitive personal information, confidential third-party information, or content you are not authorized to disclose into an SI experience.

We may use authorized human review, logs, automated safeguards, transcripts, and monitoring to operate, secure, document, and improve these services as described in our Privacy Policy.

9. Consulting and Professional Services

Consulting, implementation, development, configuration, integration, managed services, or custom professional services may be governed by a separate proposal, statement of work, order form, services agreement, or written authorization.

When a separate written agreement conflicts with these Terms, the separate agreement controls for the services it covers.

Unless a signed agreement includes a specific guarantee or acceptance standard:

• Estimates and delivery dates are not guarantees.
• Results may depend on customer participation and third-party systems.
• You are responsible for reviewing and approving deliverables.
• You are responsible for obtaining necessary accounts, licenses, authorizations, permissions, and data rights.
• Changes in scope may require additional time and fees.
• Third-party platform changes may affect functionality, price, or delivery.

10. Memberships, Subscriptions, and Automatic Renewal

Certain memberships, coworking plans, software services, service programs, or other offerings may automatically renew.

Before enrollment, we will disclose the material recurring terms, which may include the recurring price, billing frequency, renewal period, minimum commitment (if any), trial or promotional terms, how to cancel, and when a promotional price changes.

By affirmatively accepting a recurring offer, you authorize us or our payment provider to charge your selected payment method at the disclosed frequency until cancellation.

You may cancel through:

• The cancellation control in your online account, when available.
• The online cancellation method identified during enrollment.
• Email to hq@oceancrypto.ai.
• Telephone at 619-268-1889 during normal business hours.
• Another cancellation method expressly identified in the applicable enrollment terms.

When enrollment occurs online, an online cancellation method will be made available.

Cancellation prevents future renewals but does not ordinarily produce a prorated refund for a partially used billing period, except where required by law or expressly provided in the applicable offer.

We may send notices regarding renewals, upcoming charges, promotional periods, material subscription changes, and price changes as required by law or as reasonably appropriate.

11. Returns, Refunds, and Cancellations

The following general policies apply unless a product page, event listing, checkout disclosure, order form, membership offer, or separate agreement states different terms.

Physical Products

Unused and unopened physical products may generally be returned within 14 days after delivery with proof of purchase.

Hardware wallets and security-sensitive products must have all seals, packaging, recovery materials, and security components intact. A product that has been opened, initialized, activated, altered, damaged, paired with an account, or used to create or store credentials may be nonreturnable for security reasons.

Report damaged, defective, or incorrectly shipped items promptly.

Digital Products

Digital downloads, books, files, activation codes, software access, media, and immediately delivered digital content are generally final after delivery or access, except for duplicate charges, a material technical defect, or where a refund is required by law.

Appointments and Consulting Sessions

Appointments may generally be rescheduled or canceled without charge at least 24 hours before the scheduled start time. Late cancellations and missed appointments may be charged or treated as used.

Events and Workshops

Unless an event listing states otherwise, an event registration may generally be canceled for a refund at least 48 hours before the event. A registration may be transferable to another eligible attendee with advance notice. Limited-capacity, catered, travel-related, third-party, promotional, special-access, or specially designated events may be nonrefundable.

Memberships

Membership cancellation applies to future billing periods. Fees already charged are generally nonrefundable unless otherwise stated or required by law.

Refund Method

An approved refund will ordinarily be returned to the original payment method. For a digital-asset payment, we may issue a refund using the original asset, a U.S.-dollar equivalent, store credit, or another disclosed method, subject to legal and technical availability. Blockchain network charges may not be refundable.

12. Shipping and Fulfillment Policy

OceanCrypto.ai sells ordinary tech accessories, hardware, merchandise, books, and other physical goods through the Site. Shipping methods, carriers, estimated delivery windows, and shipping charges are disclosed at checkout before you complete a purchase.

Delivery estimates are not guarantees. Delays may occur because of carrier performance, weather, customs, incorrect address information, or circumstances beyond our control.

Risk of loss and title for physical products pass to you upon delivery to the carrier, except where applicable law provides otherwise.

Inspect your order upon delivery and report a damaged, defective, missing, or incorrect item promptly using the contact information below so we can arrange a replacement, correction, or refund consistent with the Returns, Refunds, and Cancellations section above.

We do not ship digital assets, cryptocurrency, or stored value. Only physical goods and digital products described in the Returns, Refunds, and Cancellations section are fulfilled through the Site.

13. Events, Coworking, Facilities, and Physical Activities

Participation in events, coworking, demonstrations, workshops, fitness activities, yoga, surfing, beach activities, travel, food service, equipment use, or other in-person activities may involve risk.

You agree to:

• Follow posted rules and reasonable staff instructions.
• Use facilities and equipment responsibly.
• Disclose relevant accessibility or safety requirements when appropriate.
• Refrain from dangerous, disruptive, unlawful, harassing, or damaging conduct.
• Complete a separate waiver or participant agreement when required. In-person events, classes, and animal-interaction activities (including Puppy Yoga) are governed by the Event Participation Waiver, Release of Liability, and Assumption of Risk, which you accept by registering, signing at check-in, or entering the event.
• Supervise any minor for whom you are responsible.

You are responsible for personal property brought to an OceanCrypto.ai location or event. To the extent permitted by law, OceanCrypto.ai is not responsible for lost, stolen, or damaged personal property, except where the loss results from conduct for which liability cannot legally be excluded.

We may deny entry or remove a participant when reasonably necessary for safety, legal compliance, disruption prevention, capacity management, protection of property, or protection of others.

14. Event Cancellation Policy

This section describes what happens when OceanCrypto.ai cancels, postpones, or materially changes an event, in addition to the attendee-initiated cancellation terms in the Returns, Refunds, and Cancellations section above.

If OceanCrypto.ai cancels or postpones an event, we will notify registered attendees using the contact information on file and offer, at the attendee's choice, a full refund of the paid registration fee or a transfer to a rescheduled date or a comparable future event.

Weather, venue availability, safety concerns, low enrollment, instructor or speaker availability, and other operational factors may require us to cancel, postpone, or change an event's date, time, location, or format.

OceanCrypto.ai is not responsible for incidental costs, such as travel or lodging, arising from a cancellation, postponement, or change, except where required by law.

15. OceanCrypto.ai SMS Messaging Terms

12.1 Program Name

OceanCrypto.ai Alerts & Offers

12.2 Program Description

OceanCrypto.ai operates a recurring SMS messaging program using one or more registered United States business telephone numbers, including registered 10-digit long-code numbers.

After you affirmatively opt in, OceanCrypto.ai may send text messages concerning:

• Order confirmations, fulfillment, pickup, and delivery updates.
• Appointment confirmations and reminders.
• Customer-service conversations you requested.
• Membership, account, and coworking-program updates.
• Event registrations, reminders, and schedule changes.
• Educational programs, workshops, products, and services.
• Occasional promotional offers.

Messages may be sent by OceanCrypto.ai employees, authorized representatives, Salesforce-powered workflows, contact-center systems, or SI-enabled agents.

12.3 How Users Opt In

Website or Web Chat. You may provide your mobile telephone number through an OceanCrypto.ai website form or web-chat experience and affirmatively select an unchecked SMS consent option. The signup disclosure will describe the messages you are agreeing to receive and will include the OceanCrypto.ai brand, the types of messages, a statement that message frequency varies, a statement that message and data rates may apply, STOP instructions, HELP instructions, a statement that consent is not a condition of purchase, and direct links to these Terms and the Privacy Policy.

Point of Sale or In Person. At an OceanCrypto.ai retail location, event, appointment, or in-person interaction, an authorized representative may present the SMS program disclosure and ask whether you agree to receive messages. Your telephone number will not be enrolled based solely on a purchase, registration, appointment, or ordinary customer interaction. You must affirmatively agree to enroll.

Voice Call or Contact-Center Conversation. During a telephone or SI-enabled voice conversation, an OceanCrypto.ai representative or agent may ask: "Would you like to receive recurring order alerts, appointment updates, customer-service messages, event information, and occasional special offers from OceanCrypto.ai by text message? Message frequency varies. Message and data rates may apply. Consent is not required to make a purchase. You can review how we handle your information in our Privacy Policy at oceancrypto.ai/privacy-policy/, and our full SMS Terms at oceancrypto.ai/terms/. Reply STOP to opt out or HELP for help." Your clear affirmative response may initiate a confirmation message. When confirmation is required, recurring messaging will not begin until you complete the requested confirmation step.

SMS Keyword. You may enroll by texting an approved keyword, such as YES or START, to an OceanCrypto.ai messaging number after being presented with the applicable program disclosure.

12.4 Consent

By affirmatively enrolling, you consent to receive recurring SMS messages from OceanCrypto.ai at the mobile telephone number you provide. Consent is not a condition of purchasing any product or service.

You represent that you are the subscriber or customary user of the telephone number, that you are authorized to enroll the number, that the information you provide is accurate, and that you will notify us if the number changes or is reassigned.

SMS marketing consent is separate from acceptance of these general Terms and must be obtained through a distinct affirmative enrollment action.

12.5 Double Opt-In

OceanCrypto.ai may use a double opt-in process. After initially agreeing to enroll, you may receive a message asking you to reply YES to confirm. When double opt-in applies, recurring messaging begins only after the required confirmation response is received.

A confirmation message may state: "OceanCrypto.ai: You're subscribed to recurring order alerts, appointment updates, customer-service messages, event information, and occasional offers. Msg frequency varies. Msg & data rates may apply. Reply HELP for help or STOP to opt out."

12.6 Message Frequency

Message frequency varies. The number of messages you receive depends on your purchases, appointments, customer-service conversations, event registrations, memberships, preferences, and interactions with OceanCrypto.ai. Transactional or conversational activity may result in additional messages related to that activity.

12.7 Message and Data Charges

Message and data rates may apply. Your wireless carrier's pricing, service terms, and data policies govern charges associated with sending or receiving text messages.

12.8 Opting Out

Text STOP to stop. You may cancel SMS communications at any time by replying STOP to the telephone number that sent the message. The messaging system may also recognize standard opt-out requests such as CANCEL, END, QUIT, UNSUBSCRIBE, and OPT OUT.

After opting out, you may receive one final confirmation message stating that you have been unsubscribed. You will not receive additional messages from the applicable program unless you affirmatively enroll again.

12.9 Help and Support

12.11 Delivery and Carrier Responsibility

Message delivery is not guaranteed and may be affected by your carrier, device, location, wireless coverage, service plan, network conditions, or technical availability. Wireless carriers are not responsible for delayed or undelivered messages.

12.12 Availability

The program is intended for compatible United States telephone numbers, carriers, and devices. Program availability may vary by carrier and location. A United States 10-digit long-code messaging number may be restricted to domestic messaging.

12.13 Mobile Information and Consent Records

OceanCrypto.ai may collect and maintain your mobile telephone number, the date and time of consent, the consent source, the disclosure presented when consent was obtained, your consent status, opt-in and opt-out activity, messaging keywords and responses, message history, Salesforce contact, messaging-user, conversation, and related records, and customer-service and compliance records.

No mobile information will be sold or shared with third parties or affiliates for their own marketing or promotional purposes. Text-messaging originator opt-in data and consent will not be sold, rented, purchased, exchanged, or shared with third parties for their own marketing or promotional purposes.

We may disclose mobile information to service providers acting on our behalf only as reasonably necessary to deliver messages, maintain the program, provide support, prevent fraud, protect security, process consent, document compliance, or perform related services. Our collection and use of personal information is further described in the Privacy Policy.

12.14 Program Changes or Termination

OceanCrypto.ai may change or discontinue the messaging program, change a sending number, or modify message content or frequency. Material changes will be reflected in these Terms or communicated using another appropriate method.

16. Telephone Calls, Voice Agents, and Call Recording

When you provide a telephone number and the applicable consent, OceanCrypto.ai may contact you regarding an inquiry, appointment, order, requested support, membership, registration, event, or offer.

A communication may be delivered by a human representative, a contact-center system, an automated workflow, or an SI-enabled voice agent.

Consent to receive marketing calls, automated promotional calls, or promotional text messages is not a condition of purchase. You may revoke applicable marketing consent using the method communicated during the interaction or by contacting OceanCrypto.ai.

Calls or voice interactions may be monitored, transcribed, or recorded for quality, training, security, service delivery, documentation, and compliance purposes after any notice or consent required by applicable law has been provided.

17. Email Communications

You may receive transactional or service-related emails concerning orders, appointments, security, memberships, accounts, registrations, events, or requested services.

You may separately opt in to promotional email. Marketing emails will include an unsubscribe method. Unsubscribing from promotional email does not prevent security, legal, transaction, account, or service-related communications.

18. Acceptable Use

You may not use the website, facilities, messaging systems, agents, software, networks, or services to:

• Violate applicable law or another person's rights.
• Commit fraud, deception, impersonation, harassment, or abuse.
• Introduce malware or attempt unauthorized access.
• Circumvent access, billing, security, safety, or usage restrictions.
• Scrape, copy, reverse engineer, or exploit a service except where permitted by law.
• Send spam or unlawful communications.
• Infringe intellectual-property, publicity, confidentiality, or privacy rights.
• Facilitate theft, money laundering, sanctions evasion, market manipulation, or unlawful financial activity.
• Interfere with service operation or security.
• Submit content you do not have the right to use.
• Use an SI service to create unlawful, deceptive, harmful, or infringing content.
• Attempt to obtain seed phrases, private keys, passwords, or authentication credentials belonging to another person.

We may investigate suspected violations and cooperate with lawful requests from authorities.

19. User Content and Feedback

You retain ownership of content you submit, subject to rights held by others.

You grant OceanCrypto.ai a nonexclusive, worldwide, royalty-free license to host, process, reproduce, display, and transmit submitted content as reasonably necessary to provide, secure, document, and improve the requested services.

You represent that you possess the rights and permissions required to submit the content.

OceanCrypto.ai may use feedback, suggestions, concepts, or improvement ideas without restriction or compensation, provided that we do not publicly identify you without permission.

20. Intellectual Property

The OceanCrypto.ai name, branding, designs, text, graphics, media, software, course materials, processes, interfaces, and other content are owned by OceanCrypto.ai or its licensors and are protected by applicable intellectual-property laws.

These Terms provide a limited, revocable, nonexclusive, nontransferable right to use the services for their intended personal or internal-business purpose. They do not transfer ownership of any intellectual property.

You may not reproduce, resell, sublicense, distribute, publicly display, or create derivative works from protected OceanCrypto.ai content without written permission, except where applicable law expressly permits the activity.

21. Third-Party Services and Links

OceanCrypto.ai services may interact with third parties, including payment processors, wallet providers, blockchain networks, exchanges and custodians, Salesforce, WordPress and WooCommerce, Apple, Google, and device manufacturers, event and scheduling platforms, communications providers, SI-model providers, and cloud and infrastructure providers.

Third-party services are governed by their own terms, privacy practices, pricing, security, availability, and operational decisions.

A link, compatibility statement, integration, product listing, introduction, or demonstration does not guarantee or endorse every aspect of a third-party service.

22. Affiliate Disclosure

OceanCrypto.ai may publish links to independent third-party products and services, including cryptocurrency exchanges and hardware-wallet manufacturers, through affiliate or referral programs. If you follow one of these links and complete a purchase or sign-up, OceanCrypto.ai may receive a commission or referral fee from the third party at no additional cost to you.

An affiliate or referral link is not an endorsement, recommendation, or guarantee of any third-party product or service. OceanCrypto.ai is not the seller, exchange, custodian, or service provider for the linked third party. Review the third party's own terms, privacy policy, and disclosures before using its product or service.

23. Disclaimers

To the fullest extent permitted by law, the website, content, facilities, products, SI output, and services are provided on an "as is" and "as available" basis.

OceanCrypto.ai does not warrant that:

• A service will be uninterrupted, secure, or error-free.
• Information or SI output will be complete or accurate.
• A digital asset will maintain value.
• A third-party service will remain available.
• A particular business, technical, financial, regulatory, or personal outcome will be achieved.
• Every defect will be corrected.

Nothing in these Terms excludes a warranty or right that cannot legally be waived.

24. Limitation of Liability

To the fullest extent permitted by law, OceanCrypto.ai and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, lost data, business interruption, lost digital assets, loss of goodwill, or loss arising from an unavailable third-party service.

To the fullest extent permitted by law, aggregate liability arising from a particular product or service will not exceed the greater of the amount you paid OceanCrypto.ai for that product or service during the preceding 12 months, or one hundred United States dollars.

These limitations do not apply to liability that cannot lawfully be limited, including liability arising from fraud, willful misconduct, or other conduct for which exclusion is prohibited.

25. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold OceanCrypto.ai harmless from third-party claims, losses, liabilities, damages, and reasonable expenses arising from:

• Your unlawful use of a service.
• Your violation of these Terms.
• Content you submit.
• Your infringement of another person's rights.

This section does not require a consumer to indemnify OceanCrypto.ai for OceanCrypto.ai's own unlawful conduct.

26. Suspension and Termination

You may stop using the services at any time, subject to outstanding payment obligations and applicable cancellation policies.

OceanCrypto.ai may suspend or terminate access when reasonably necessary because of a violation of these Terms, fraud or security risk, nonpayment, abuse or dangerous conduct, legal or regulatory requirements, or discontinuation of a service.

Sections that by their nature should survive termination remain effective, including payment obligations, intellectual-property provisions, disclaimers, limitations of liability, indemnification, and dispute provisions.

27. Changes to Services or Terms

We may update these Terms to reflect changes in services, operations, technology, or legal obligations. The revised Terms will display an updated "Last Updated" date.

When legally required, we will provide additional notice or request renewed consent. Material changes to an active recurring service will be communicated as required by applicable law.

28. Governing Law and Venue

Eagle47 Holdings LLC is a Nevada limited liability company doing business in California as OceanCrypto.ai, with its storefront in San Diego. These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Subject to non-waivable consumer rights, legal proceedings relating to these Terms or the services must be brought in the state or federal courts located in San Diego County, California.

Nothing in this section prevents an eligible matter from being filed in small-claims court or limits a right that cannot legally be waived.

29. Miscellaneous

If a provision of these Terms is found unenforceable, the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver.

You may not assign your rights or obligations under these Terms without our written permission. OceanCrypto.ai may assign these Terms as part of a merger, acquisition, reorganization, financing, asset transfer, or transfer of the relevant business.

These Terms, the Privacy Policy, applicable checkout disclosures, and any separate written agreement constitute the agreement governing the applicable services.
